Cipherus Terms of Service

Welcome to Cipherus! By engaging our web development services, you ("Client") agree to the following terms and conditions.
Services & Scope
Cipherus provides custom web development services, including but not limited to:
- Website design & development
- API integrations
- Crypto & blockchain-based applications
- Interactive dashboards & analytics
Cipherus reserves the right to contract out development work to third-party developers or our internal dev team as needed.
Payments & Refund Policy
- A 50% upfront payment is required to begin work.
- The remaining 50% is due upon project completion before final delivery.
- All sales are final. Once the initial 50% deposit is received, no refunds will be issued under any circumstances.
- Failure to pay the final balance may result in project termination and loss of access to any work completed.
Revisions & Project Scope
- Each project includes a set number of revisions, agreed upon before development begins.
- Any major feature additions beyond the original scope will require additional charges.
- If the client fails to provide feedback or necessary materials within 30 days, the project may be placed on hold.
- - Any estimated project timeline provided by Cipherus is speculative and not guaranteed. Delays may occur due to client feedback, third-party service availability, technical challenges, or unforeseen circumstances. Cipherus will make reasonable efforts to meet timelines but assumes no liability for delays.
Rights & Ownership
- Upon full payment, the client will receive full ownership of the final website code and assets.
- Cipherus retains the right to showcase completed projects in our portfolio.
- Any custom-built tools, components, or frameworks developed by Cipherus remain our intellectual property unless explicitly agreed otherwise.
Domain Registration & Costs
- Cipherus may register or assist with registering a custom domain name for your project at your request. The following terms apply:
- Standard Domains: Cipherus will cover up to $100 USD for the initial registration of a standard custom domain (e.g., .com, .io, .app) through a third-party registrar. Standard domains are defined as those available at standard pricing (typically $10–$20/year) without premium or auction fees.
- Premium Domains: If you request a premium domain (e.g., short, brandable, or niche TLDs costing more than $100 USD), you are responsible for paying the full cost upfront. Cipherus may facilitate the purchase on your behalf at your direction but will not absorb any portion of premium domain costs.
- Cost Cap: Cipherus’s total contribution to domain costs per project will not exceed $100 USD unless otherwise agreed in writing. Any costs exceeding $100 USD (for standard or premium domains) will be billed to you directly, minus our $100 contribution where applicable.
- Renewals: Domain names renew annually, and you are responsible for all renewal costs. Cipherus will notify you at least 30 days before renewal and handle the process upon your authorization and payment.
- Liability: Cipherus is not liable for domain registration errors, renewals, or third-party registrar policies. You agree to indemnify Cipherus against any claims or costs arising from domain-related issues.
- By requesting a custom domain, you acknowledge and agree to these terms.
API Keys, Subscriptions, & Integrations Costs
If any paid API keys, subscriptions, integrations, or third-party services (e.g., Etherscan, Moralis, or similar) are required for your project, the client is responsible for all associated costs, including subscription fees, usage charges, or one-time payments. Cipherus will notify you of these costs before implementation and obtain your authorization.
No Liability for Security Breaches (For Crypto DApps & Web3 Projects)
If Cipherus develops a crypto, blockchain, or DeFi-related project, we assume no liability for:
- Smart contract vulnerabilities
- Hacks, exploits, or security breaches
- Financial losses resulting from user interactions
Security audits are the client's responsibility. Cipherus recommends that third-party audits be conducted before launching any Web3 product. If the client wishes to include a security audit as part of the project, Cipherus can arrange this, but it must be agreed upon before development begins and may incur additional costs.
No Guarantees on SEO or Performance Metrics
Cipherus implements best practices for SEO, speed, and performance but cannot guarantee specific rankings, traffic results, or technical performance beyond industry standards.
Right to Refuse Service
Cipherus reserves the right to decline or terminate any project at our discretion, including but not limited to:
- Websites promoting illegal, fraudulent, or unethical activities
- Clients who engage in harassment or bad-faith negotiations (including but not limited to verbal abuse, threats, or unreasonable demands)
- Any project that Cipherus determines is not a good fit
In cases where service is terminated mid-project, the client will be billed for work completed up to that point.
Confidentiality & Non-Disclosure
- Cipherus agrees to keep all client data, plans, and materials confidential.
- Clients agree not to disclose any proprietary tools, pricing structures, or processes used by Cipherus for 3 years from the date of final delivery.
Liability Limitations
Cipherus is not responsible for:
- Third-party service failures (hosting, APIs, payment processors, etc.)
- Website downtime due to server issues, DDoS attacks, or force majeure events
- Client misuse of provided tools or services
Maximum liability in any dispute is limited to the amount paid for the project or $999 USD, whichever is less.
Agreement
By engaging Cipherus for services, the client agrees to these Terms of Service.
